If you do not agree with any provision herein, you are expressly prohibited from using our website and services and must discontinue use immediately.

These Terms apply to all visitors, users, clients, and others who access or use our website or services. Additional terms, including but not limited to Statements of Work, Master Services Agreements, and Non-Disclosure Agreements, may apply to specific client engagements and are incorporated by reference into these Terms where applicable.

2. Definitions

Throughout these Terms, the following definitions apply:

  • Company, We, Us, or Our — BF VENDING LLC, a Florida limited liability company.
  • You or Your — the individual accessing or using our website and services, or the legal entity on whose behalf such individual is acting.
  • Services — computer systems design, integrated systems engineering, cloud architecture consulting, cybersecurity assessment, performance optimization, managed operations, and any other professional services described on our website or specified in a signed Statement of Work.
  • Website — https://www.bfvending.mom and all subpages, subdomains, and related digital properties owned or operated by the Company.
  • Content — all text, images, graphics, code, documentation, deliverables, reports, diagrams, and other materials provided through the website or as part of our services.
  • Statement of Work or SOW — a mutually executed document describing the scope, deliverables, timeline, fees, and terms of a specific client engagement.

3. Services Description

BF VENDING LLC provides professional computer integrated systems design and related services as defined under NAICS code 541512. Our services encompass, but are not limited to:

  • Enterprise systems architecture design and specification
  • Cloud and hybrid infrastructure architecture consulting
  • Systems integration engineering connecting disparate platforms
  • Cybersecurity architecture assessment and design
  • Performance optimization analysis and remediation planning
  • Managed infrastructure monitoring and operational support
  • Technology roadmap development and procurement advisory

The specific scope, deliverables, acceptance criteria, timeline, and pricing for each engagement are defined in a written Statement of Work executed by authorized representatives of both parties. No binding obligation to perform services arises from website inquiries, email exchanges, or verbal discussions alone; a signed SOW is required to commence any paid engagement.

4. Client Obligations and Cooperation

Successful delivery of our services depends on timely and thorough cooperation from you. By engaging our services, you agree to:

  • Provide accurate, complete, and current information about your existing systems environment, infrastructure topology, operational constraints, and business requirements.
  • Grant reasonable access to relevant systems, personnel, documentation, and facilities as needed for us to perform the services described in the applicable SOW.
  • Designate a primary point of contact with authority to make decisions, approve deliverables, and resolve issues within the timeframes specified in the SOW.
  • Maintain appropriate backups of all data, configurations, and systems before and during any engagement that involves changes to production environments.
  • Comply with all applicable laws, regulations, and industry standards in connection with your use of our services and any deliverables we provide.
  • Refrain from using our services or deliverables for any unlawful purpose, including but not limited to activities that violate export controls, intellectual property rights, or data protection laws.

Delays, failures, or additional costs arising from your failure to meet these cooperation obligations are not our responsibility and may result in schedule adjustments, change orders, or additional fees as specified in the applicable SOW.

5. Intellectual Property Rights

5.1 Website Content

All content published on the BF VENDING LLC website — including text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software — is the exclusive property of BF VENDING LLC or its content suppliers and is protected by United States and international copyright, trademark, and other intellectual property laws. The compilation of all content on this website is the exclusive property of BF VENDING LLC.

You may view, download, and print pages from the website for your personal, non-commercial use only, subject to the restrictions set out in these Terms. You may not reproduce, duplicate, copy, sell, resell, or otherwise exploit our website content for any commercial purpose without our express prior written consent.

5.2 Client Deliverables

Unless otherwise specified in the applicable SOW, upon full payment of all fees due, BF VENDING LLC assigns to the client all right, title, and interest in custom deliverables created specifically for that client under the engagement. This assignment excludes:

  • Pre-existing tools, libraries, frameworks, methodologies, templates, and intellectual property owned by or licensed to BF VENDING LLC prior to the engagement.
  • General knowledge, skills, experience, ideas, concepts, and know-how acquired by BF VENDING LLC personnel in the course of performing the services.
  • Any improvements, modifications, or derivative works to BF VENDING LLC pre-existing intellectual property, which remain our property subject to a perpetual, non-exclusive license granted to the client for use in connection with the deliverables.

5.3 Feedback

Any suggestions, enhancement requests, recommendations, corrections, or other feedback you provide to us regarding our website or services may be used by BF VENDING LLC without restriction, attribution, or compensation to you. By submitting feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate your feedback into our services and offerings.

6. Confidentiality

During the course of an engagement, each party may disclose to the other certain non-public, proprietary, or confidential information. The receiving party agrees to:

  • Use the disclosing party's confidential information solely for the purpose of performing its obligations under the applicable SOW.
  • Protect the disclosing party's confidential information using the same degree of care it uses to protect its own confidential information of like nature, but in no event less than reasonable care.
  • Limit access to the disclosing party's confidential information to personnel, contractors, and advisors who have a need to know and are bound by confidentiality obligations at least as protective as those in this section.
  • Return or securely destroy all confidential information of the disclosing party upon written request or termination of the engagement, subject to archival copies required for legal or regulatory compliance.

Confidential information does not include information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was rightfully in the receiving party's possession without restriction prior to disclosure; (c) is rightfully obtained by the receiving party from a third party without restriction; or (d) is independently developed by the receiving party without use of or reference to the disclosing party's confidential information.

7. Fees, Payment, and Taxes

Fees for our services are specified in the applicable SOW. Unless otherwise stated in the SOW, the following payment terms apply:

  • Invoices are issued on a net-30 basis from the invoice date.
  • Late payments accrue interest at the rate of 1.5% per month or the maximum rate permitted by applicable law, whichever is less.
  • All fees are stated in United States Dollars and are exclusive of applicable federal, state, and local taxes, which are your responsibility unless you provide a valid tax exemption certificate.
  • We reserve the right to suspend services if payment is more than 45 days past due and you have not made arrangements satisfactory to us.
  • Any collection costs incurred by us, including reasonable attorney fees and court costs, in connection with overdue payments are recoverable from you.

8. Limitation of Liability

To the fullest extent permitted by applicable law, BF VENDING LLC and its members, managers, officers, employees, agents, and subcontractors shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profits, revenue, data, goodwill, or business interruption, arising out of or in connection with these Terms, our website, or our services, regardless of the theory of liability and even if advised of the possibility of such damages.

In no event shall the aggregate liability of BF VENDING LLC arising out of or related to these Terms or our services exceed the total fees paid by you to BF VENDING LLC during the twelve months immediately preceding the event giving rise to the claim. If no fees have been paid, our aggregate liability shall not exceed one hundred United States dollars ($100.00).

The limitations in this section do not apply to: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be excluded or limited by applicable law.

9. Disclaimer of Warranties

Our website and services are provided on an AS IS and AS AVAILABLE basis, without warranties of any kind, either express or implied. To the fullest extent permitted by law, BF VENDING LLC disclaims all warranties, including but not limited to:

  • Implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
  • Warranties that our website will be uninterrupted, timely, secure, error-free, or free of viruses or other harmful components.
  • Warranties that any errors or defects in our website or services will be corrected.
  • Warranties regarding the accuracy, completeness, reliability, or currency of any content on our website.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you shall cooperate fully with us in asserting any available defenses. You shall not settle any indemnified claim without our prior written consent.

11. Term and Termination

These Terms remain in full force and effect while you use our website or services. With respect to specific client engagements, the term is defined in the applicable SOW. Either party may terminate an SOW in accordance with the termination provisions specified therein.

We reserve the right, in our sole discretion and without prior notice or liability, to:

  • Suspend or terminate your access to our website for any reason, including breach of these Terms.
  • Refuse service to anyone for any reason at any time.
  • Remove or modify any content on our website at any time.

Upon termination, your right to use our website and services shall immediately cease. Provisions of these Terms that by their nature should survive termination — including but not limited to intellectual property, confidentiality, limitation of liability, disclaimer of warranties, indemnification, and governing law — shall survive termination indefinitely.

12. Third-Party Links and Services

Our website may contain links to third-party websites or services that we do not own or control. We have no control over, and assume no responsibility for, the content, privacy policies, terms of service, or practices of any third-party websites or services. 13. Governing Law and Dispute Resolution

These Terms and any dispute arising out of or related to them shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transactions Act do not apply.

13.1 Informal Resolution

Before initiating any formal legal action, you agree to first contact us at service@bfvending.mom and attempt to resolve the dispute informally. We will similarly attempt to resolve any dispute we have with you informally. Both parties agree to participate in good-faith negotiations for at least 30 days before commencing any legal proceeding.

13.2 Venue and Jurisdiction

Any legal action or proceeding arising out of or related to these Terms shall be brought exclusively in the state courts located in Palm Beach County, Florida, or the federal courts located in the Southern District of Florida. You and BF VENDING LLC consent to the personal jurisdiction of these courts and waive any objection to venue therein, including any argument of forum non conveniens.

13.3 Class Action Waiver

You agree to resolve any dispute with us on an individual basis only and waive any right to participate in or bring a class, collective, consolidated, or representative action. Unless both parties agree otherwise, no arbitrator or judge may consolidate more than one person's claims or otherwise preside over any form of a representative or class proceeding.

14. Force Majeure

BF VENDING LLC shall not be liable for any failure or delay in the performance of its obligations under these Terms or any SOW to the extent such failure or delay is caused by circumstances beyond our reasonable control, including but not limited to: acts of God; natural disasters; flood; fire; earthquake; epidemic or pandemic; war; invasion; hostilities; terrorist acts; riots; civil unrest; government orders, sanctions, embargoes, or blocks; national or regional emergency; strikes; labor disputes; utility failures; internet or telecommunications outages; or denial-of-service attacks.

If a force majeure event continues for more than 30 consecutive days, either party may terminate the affected SOW upon written notice, and you shall pay for all services rendered through the date of termination.

15. General Provisions

  • Entire Agreement — these Terms, together with any applicable SOW, Privacy Policy, and any other documents expressly incorporated by reference, constitute the entire agreement between you and BF VENDING LLC regarding the subject matter hereof and supersede all prior or contemporaneous communications, understandings, and agreements, whether written or oral.
  • Severability — if any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to reflect the parties' original intent to the fullest extent permitted by law, and the remaining provisions shall continue in full force and effect.
  • Waiver — our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. No waiver of any breach shall be deemed a waiver of any subsequent breach.
  • Assignment — you may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. We may assign or transfer these Terms without restriction, provided such assignment does not materially diminish your rights.
  • Relationship of the Parties — nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and BF VENDING LLC. Our relationship is that of independent contractors.
  • Notices — all notices permitted or required under these Terms shall be in writing and delivered by email (to service@bfvending.mom for notices to us, and to the email address you provided for notices to you) or by certified mail, return receipt requested. Notices sent by email are deemed received on the next business day; notices sent by mail are deemed received five business days after mailing.
  • Headings — section headings are for convenience only and have no legal or contractual effect.
  • Survival — any provision of these Terms that contemplates performance or observance subsequent to termination or expiration shall survive termination or expiration and continue in full force and effect.
